(the "Company" or "Altitude") executed a Purchase and Sale Agreement (the "Purchase Agreement") with Sandpiper Resort Properties, Inc. and Holiday Village of Sandpiper, Inc. (collectively, "Club Med Sandpiper Bay") on May 31, 2022.
