(the "Trust") wishes to announce that it has executed an agreement with Hotel Room Xpress Pte. Ltd., Xpress Credit Limited and Heng Fung Capital Company Limited (the "Vendors"), together with ZH International Holdings Limited, the parent company of the Vendors, pursuant to which the Trust will acquire the 8,031,664 common shares of RSI International Systems Inc.
